Terms of Service

Welcome to MISAC Mobile and MISAC ERP. These Terms of Service ("Terms") govern your use of the MISAC Mobile application and MISAC ERP platform ("Services") provided by MISAC Intelligence Private Limited ("we," "our," or "us"). By downloading, installing, or using the Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Services, you confirm that:

• You are at least 13 years of age (or the minimum age in your jurisdiction)
• You have the legal capacity to enter into these Terms
• You will comply with all applicable laws and regulations, including Nepal law
• If using on behalf of an organization, you have authority to bind that organization to these Terms

2. Description of Services

MISAC provides an AI-powered ERP, accounting, and MIS platform including:

• Document scanning and management capabilities
• Data entry and form submission features
• Offline data access and synchronization
• Secure authentication including biometric login
• Financial accounting, payroll, inventory, and reporting modules
• IRD compliance tools for VAT, TDS, and SSF management

Most features require valid user credentials provided by your organization or assigned by us directly.

3. Account Registration and Security

3.1 Account Creation

To use the full features, you must have a valid account. You agree to:

• Provide accurate and complete information
• Keep your login credentials confidential
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account

3.2 Biometric Authentication

If you enable biometric authentication (Face ID, fingerprint), you acknowledge that:

• Anyone with registered biometrics on your device may be able to access the App
• You are responsible for managing biometric access on your device
• Biometric credentials may expire and require re-authentication

4. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Services' functionality or servers
• Upload malicious code, viruses, or harmful content
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices or labels
• Use automated systems or software to extract data from the Services
• Share your account credentials with unauthorized individuals
• Upload false, misleading, or fraudulent documents or data
• Violate any applicable laws or regulations of Nepal or your jurisdiction

5. User Content

5.1 Your Content

You retain ownership of all documents, data, and content you create or upload through the Services ("User Content"). By uploading User Content, you grant us a limited license to:

• Store and process your content on our servers
• Display your content back to you through the Services
• Create backups for data protection purposes
• Share your content as directed by you or your organization

5.2 Content Responsibility

You are solely responsible for:

• The accuracy and legality of your User Content
• Ensuring you have the right to upload and share your content
• Maintaining appropriate backups of your important data

6. Intellectual Property

6.1 Our Rights

The Services, including their design, features, code, graphics, and documentation, are owned by MISAC Intelligence Private Limited and protected by intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Services subject to these Terms.

6.2 Restrictions

You may not:

• Copy, modify, or distribute the Services
• Create derivative works based on the Services
• Use our trademarks without written permission
• Sublicense or transfer your rights to use the Services

7. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Services

The Services may integrate with third-party providers such as Firebase. Your use of such services is subject to their respective terms and privacy policies. We are not responsible for the practices of third-party service providers.

9. Availability and Modifications

9.1 Service Availability

We aim to maintain service availability but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to scheduled maintenance, emergency repairs, server issues, or circumstances beyond our control.

9.2 Modifications

We reserve the right to modify, update, or discontinue any features, and to change these Terms with reasonable notice. We will update the App to fix bugs or improve functionality.

10. Disclaimers

We disclaim all warranties including merchantability, fitness for a particular purpose, accuracy of content, uninterrupted operation, security of data transmission, and compatibility with all devices or systems.

11. Limitation of Liability

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid for the Services in the 12 months preceding the claim
• We are not liable for any loss of data, profits, or business opportunities

12. Indemnification

You agree to indemnify and hold harmless MISAC Intelligence Private Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your User Content.

13. Termination

13.1 By You

You may stop using the Services at any time by uninstalling the App from your device. To delete your account and the personal data associated with it, use one of the following options:

• Submit a request through our Account & Data Deletion page (no app install required)
• Open the app and go to Profile > Settings > Delete Account
• Email [email protected] from your registered address with the subject "Account Deletion Request"

If you are part of an organization, your organization administrator can also process account deletions. Some records may be retained for legal compliance under Nepal law - see the Account Deletion page for details.

13.2 By Us

We may suspend or terminate your access if you violate these Terms, your organization terminates your access, we are required to do so by law, or we discontinue the service.

14. Governing Law and Disputes

These Terms are governed by the laws of Nepal. Any disputes shall be resolved through informal resolution first, then mediation, and finally through the courts of Nepal if mediation fails.

15. General Provisions

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MISAC Intelligence Private Limited. If any provision is found unenforceable, the remaining provisions continue in full force. Our failure to enforce any right shall not constitute a waiver.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App, updating the "Last Updated" date, and sending a notification for significant changes. Your continued use of the Services after changes constitutes acceptance.
